Terms of Service - Roger Carter Properties, LLC

1. Agreement to Terms

By engaging with Roger Carter Properties, LLC for digital marketing services, you (the "Client") agree to be bound by these Terms of Service. These terms govern the relationship between you and Roger Carter Properties, LLC regarding the provision of our services.

2. Services

Roger Carter Properties, LLC agrees to provide the Client with digital marketing services as outlined in a mutually agreed-upon Statement of Work (SOW) or proposal. Services may include, but are not limited to, Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, Social Media Marketing (SMM), and Content Marketing. The specific scope, deliverables, and timelines will be detailed in the SOW.

3. Client Obligations

The Client agrees to provide Roger Carter Properties, LLC with timely access to necessary information, data, and resources required for the execution of services. This may include access to website backends, advertising accounts, analytics platforms, and brand assets. The Client is responsible for the accuracy and legality of all materials provided to Roger Carter Properties, LLC.

4. Payment Terms

Payment for services will be governed by the terms specified in the SOW or invoice. Typically, services are billed on a recurring monthly basis and are due upon receipt. Late payments may incur interest charges. All third-party costs, such as ad spend, are the direct responsibility of the Client and will be billed separately or paid directly by the Client.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, client data, and performance metrics. This obligation of confidentiality shall survive the termination of our agreement.

6. Intellectual Property

Any pre-existing intellectual property shall remain the property of its respective owner. All deliverables, reports, and creative work produced by Roger Carter Properties, LLC specifically for the Client as part of the services shall become the property of the Client upon full payment for the services rendered. Roger Carter Properties, LLC retains the right to use case studies and non-confidential results for its own promotional purposes.

7. Term and Termination

The term of the agreement will be specified in the SOW. Either party may terminate the agreement with written notice (typically 30 days) as per the conditions outlined in the SOW. Upon termination, the Client is responsible for paying for all services rendered up to the effective date of termination.

8. Limitation of Liability

Roger Carter Properties, LLC will perform its services with professional skill and care. However, we do not guarantee specific results or outcomes, as marketing performance is subject to factors beyond our direct control (e.g., search engine algorithm changes, competitor actions). In no event shall Roger Carter Properties, LLC be liable for any indirect, incidental, or consequential damages. Our total liability shall not exceed the total fees paid by the Client to Roger Carter Properties, LLC in the preceding three months.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Roger Carter Properties, LLC is registered, without regard to its conflict of law principles.
